Further to our discussion, I’d like to confirm that we
welcome the opportunity to work with Company Name as a new and valued Client of Recruiter
Company Name (the “Company”, “we” or “us”).
This letter is to confirm a variation
to our Standard Terms and Conditions of Business (“Standard Terms”), a further
copy of which are enclosed.
Other than as varied by this letter
the Standard Terms remain in force.
We are delighted to accept
your special instructions to commence an assignment to seek candidates for
engagement by your company for the vacancy initially outlined below:

Subject to the conditions stated below, Special Payment Terms will replace clause 4.1 and the fees you will pay if you engage a candidate as a result of an introduction by the company, will be as follows:

We will charge an introduction fee equal to XX% of the candidate salary.
We will charge our initial retainer fee equal to XX% of the overall introduction fee. This fee will be payable immediately upon receiving your formal instructions.
By way of introduction to you we anticipate sending you a short list of potentially suitable candidates. In line with clause 6.1 of our Standard Terms when we deliver to you that short list of candidates we will charge in interim fee equal to XX% of the overall introduction fee.
If you engage a
candidate as a result of an introduction by us, we will charge a final fee equal to XX% of the overall introduction fee less the retainer fees already paid.
The conditions referred to above are as follows:

There has been no variation for the time
for payment of our fees, which are due within 7 days of the date on which the
company raises an invoice. If our invoice is not paid within that period our
fees will revert to the scale provided by clause 4.1 of the Standard Terms.
The terms related to a Candidate leaving
employment as described in clause 7.1 of our Standard Terms have been extended
from 12 weeks to XX
weeks.
If you are in breach of any of the Special Payment Terms contained in this letter or the Standard Terms we will be entitled to elect to charge a fee for the introduction of a candidate in accordance with the Standard Terms. If we make that election any fee (or part fee) you have paid to us will be non refundable. However the total you pay for the introduction will not exceed the payment provided for by the Standard Terms.
Please acknowledge acceptance of
these Preferential Terms by signing the copy of this letter and return this
back to me. This offer remains valid for your acceptance until Due Date. Please note
that our Standard Terms will remain in force until signed acceptance of this
letter is received by us.
